These Terms & Conditions (the “Terms”) form a binding agreement between BillRoute, Inc. (“BillRoute,” “we,” “us,” or “our”) and the business, entity, or individual that accesses or uses the BillRoute platform (“Customer,” “you,” or “your”). Please read them carefully. They govern your access to and use of BillRoute’s websites, applications, dashboards, application programming interfaces, and related invoice automation services (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, creating an account, clicking to accept these Terms, or otherwise indicating your assent, you agree to be bound by these Terms and by all applicable laws and regulations. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “Customer” refer to that entity. If you do not agree to these Terms, you may not access or use the Services. If a separate, signed master subscription agreement or order form exists between you and BillRoute, that agreement governs and controls to the extent of any conflict with these Terms.

2. Definitions

“Invoice” means any bill, invoice, statement, or payable document submitted to or processed by the Services. “Coding Output” means any general-ledger (GL) code, account assignment, entity or property allocation, cost category, extracted data point, confidence level, suggested approver, routing recommendation, or other output generated by the Services. “Financial Decision” means any invoice-approval, GL-coding, payment, or accounting decision, including any decision to approve, reject, hold, code, allocate, schedule, or remit payment on an Invoice, or to record any transaction in a general ledger or accounting system. “Customer Data” means the invoice data, vendor records, financial records, and configuration you submit to or generate through the Services.

3. Description of the Services

BillRoute provides an AI-powered invoice automation platform designed for property management and hospitality companies, including automatic invoice capture, AI-driven GL coding, approval routing, ERP synchronization, and centralized invoice tracking. The Services are informational and decision-support tools only. BillRoute is a technology provider. BillRoute does not approve Invoices, does not make Financial Decisions, does not act as your accountant, bookkeeper, or controller, and is not a party to any transaction between you and any vendor. The Services are not accounting, tax, legal, or professional advice, and no Coding Output constitutes a recommendation, instruction, or direction to take or refrain from taking any action with respect to any Invoice, payment, or accounting entry.

4. Coding Output Is Advisory Only

All Coding Output is advisory, probabilistic, and provided solely to assist you in your own independent processing and evaluation of an Invoice. Coding Output does not represent a determination that any Invoice is accurate, valid, authorized, correctly coded, or properly payable, or that any GL code, account, or allocation is correct for your books. You acknowledge that BillRoute’s tools rely on artificial intelligence, machine learning, statistical modeling, optical character recognition, and third-party data sources, each of which has inherent limitations and may produce results that are incomplete, outdated, inaccurate, or not determinative. You agree not to treat any Coding Output as a substitute for your own judgment, review, and verification.

5. Customer Is the Sole Decision-Maker for All Invoice-Approval, GL-Coding, and Payment Decisions

You are, and at all times remain, the sole and exclusive decision-maker with respect to every Financial Decision. Your own approval workflow, and the personnel you designate within it, own the final coding, approval, and payment of every Invoice. You alone decide whether to approve, reject, hold, code, allocate, schedule, or remit payment on any Invoice, and whether to record any transaction in your general ledger or accounting system. BillRoute neither makes nor participates in any such decision.

You expressly acknowledge and agree that:

  • Any Financial Decision, including any invoice approval, rejection, GL-coding assignment, entity or cost allocation, payment authorization, or accounting entry, is made by you in your sole discretion and on your sole responsibility through your own approval workflow.
  • You will not rely on Coding Output as the sole basis for any Financial Decision, and you will apply your own independent review, controls, and approval policies to each Invoice before it is coded, approved, or paid.
  • BillRoute is not responsible or liable for any coding error, misclassification, misallocation, duplicate payment, overpayment, underpayment, or other error that is approved, confirmed, or released through your own approval workflow, regardless of any Coding Output that preceded it.
  • BillRoute is not responsible or liable for any Financial Decision, for the consequences of any Financial Decision, or for any accounting, tax, audit, or financial-reporting outcome arising from or relating to any Invoice you code, approve, or pay.

To the fullest extent permitted by law, you assume all risk associated with your Financial Decisions and release BillRoute from any claim that a Financial Decision was made or influenced by, or should have been prevented by, any Coding Output.

6. No Guarantee of Accuracy

BillRoute does not warrant or guarantee that the Services will correctly capture, read, extract, code, allocate, or route any Invoice, or that any Coding Output will be accurate, complete, or appropriate for your books, entities, or accounting policies. No automation system, including BillRoute, can guarantee error-free capture or coding, and Coding Output may include incorrect classifications, extraction errors, and both false positives and false negatives. You acknowledge that a suggested code, a routed approval, or the absence of a flag is not a guarantee of accuracy, validity, or payability, and that you are responsible for independently verifying any information material to your Financial Decisions.

7. Not Accounting, Tax, or Financial Advice

The Services do not provide accounting, bookkeeping, tax, audit, legal, or other professional advice, and nothing generated by the Services should be relied upon as such. BillRoute is not your accountant, controller, auditor, or tax advisor. You are responsible for maintaining your own books and records, for the correctness of your general ledger and financial statements, and for consulting qualified professionals regarding your accounting, tax, and financial obligations. Coding Output is not a determination of the proper tax treatment, deductibility, or accounting classification of any Invoice.

8. ERP and Third-Party Integrations

The Services integrate with supported ERP, accounting, and property management systems and may rely on, or exchange data with, third-party data sources, verification providers, and systems. BillRoute does not control and is not responsible for the accuracy, availability, completeness, or timeliness of third-party data or services. While we maintain these integrations, changes to third-party APIs may temporarily affect synchronization, and BillRoute will make reasonable efforts to resolve integration issues promptly. BillRoute disclaims liability for any Coding Output, synchronization result, or Financial Decision that is affected by errors, omissions, latency, or unavailability of third-party sources or systems.

9. Customer Responsibilities and Acceptable Use

You agree to use the Services only for their intended purpose of automating invoice processing workflows and only for lawful purposes and in accordance with these Terms and all applicable laws. You are responsible for maintaining accurate vendor, entity, and GL configuration within the platform, and for establishing and following your own approval workflows, controls, and record-keeping practices. You will not upload malicious content, misuse the Services, attempt to reverse engineer or circumvent the Services, use the Services to build a competing product, submit data you are not authorized to submit, or use the Services in ways that violate applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

10. Data Ownership

Customers retain ownership of all invoice data, financial records, and processing history generated through the BillRoute platform. BillRoute may use anonymized, aggregated data to improve service quality and AI model accuracy. You are solely responsible for the accuracy and lawfulness of the Customer Data you submit and for handling Customer Data in accordance with applicable privacy and data protection laws.

11. Service Availability

BillRoute strives to maintain high availability for our platform. While we target continuous uptime, we do not guarantee uninterrupted service and are not liable for damages resulting from service interruptions or scheduled maintenance windows.

12. Disclaimer of Warranties

THE SERVICES AND ALL CODING OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BILLROUTE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR WILL CORRECTLY CAPTURE, CODE, ROUTE, OR SYNCHRONIZE ANY INVOICE OR PRODUCE ACCURATE CODING OUTPUT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BILLROUTE WILL NOT BE LIABLE FOR ANY FINANCIAL DECISION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR ANY DUPLICATE PAYMENT, OVERPAYMENT, MISPAYMENT, CODING ERROR, OR ACCOUNTING OR TAX CONSEQUENCE, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY CODING OUTPUT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF BILLROUTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, BILLROUTE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO BILLROUTE FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless BillRoute and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your Financial Decisions, your use of the Services or Coding Output, your vendor, entity, or GL configuration, your approval workflows, or your violation of any applicable law or of these Terms.

15. Termination and Suspension

Either party may terminate the Services in accordance with the applicable subscription agreement or order form. We may suspend or terminate your access to the Services immediately if you breach these Terms, misuse the Services, or create risk or legal exposure for BillRoute or others. Provisions that by their nature should survive termination, including Sections 4 through 14, will survive.

16. Changes to the Services and These Terms

We may modify the Services or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where required, provide additional notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with any applicable subscription agreement or order form, constitute the entire agreement between you and BillRoute regarding the Services.
